1. Agreement to Terms

By accessing or using any website, application, or service operated by Forge Platform Systems LLC ("Forge Platform Systems," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately. These Terms apply to all visitors, clients, and any other users of our services.

2. Who We Are

Forge Platform Systems LLC is a digital services company that designs, develops, and manages websites, automated lead-generation systems, and related digital marketing tools for small and medium-sized businesses. We are based in Chattanooga, Tennessee.

3. Services

Our services include but are not limited to custom website design and development, website hosting and maintenance, automated lead-capture and follow-up systems, email and SMS marketing integrations, search engine optimization, and analytics reporting. The specific scope of work for each client is defined in the applicable service agreement or proposal.

4. Client Responsibilities

As a client, you agree to provide accurate and timely information needed to perform the services, maintain the confidentiality of any account credentials we supply, comply with all applicable laws and regulations in connection with your use of the services, and refrain from using the services for any unlawful or unauthorized purpose. You are solely responsible for the content you provide to us for publication, including text, images, and trademarks.

5. Payments, Billing & Non-Payment

Payment terms, pricing, and billing cycles are outlined in your individual service agreement or invoice. Unless otherwise stated, recurring services are billed monthly and due upon receipt. We reserve the right to adjust pricing with thirty (30) days' written notice.

Non-Payment & Service Suspension: If payment is not received by the due date, Forge Platform Systems reserves the right to immediately suspend or take offline any website, dashboard, or digital service we manage on your behalf. This includes, but is not limited to, disabling website hosting, removing the site from public access, and suspending any automated tools or lead systems. We are under no obligation to keep your website or services active without current payment.

Accounts more than 15 days past due may be subject to termination of service. Reactivation following suspension due to non-payment may require payment of all outstanding balances plus a reactivation fee. Forge Platform Systems is not liable for any business losses, missed leads, or other damages resulting from service suspension due to non-payment.

5a. Refund Policy

No Refunds After Delivery: All setup fees, one-time project fees, and design fees are non-refundable once work has begun. Once a website or digital system has been built and delivered — meaning it has been presented to the client, made accessible for review, or launched — no refund will be issued, regardless of whether the client chooses to continue using the service.

Monthly recurring fees are non-refundable for the current billing period in which they are charged. If you cancel your subscription, your service will remain active through the end of the paid billing period and will not renew thereafter.

5b. Revisions & Additional Work

Following the initial build and delivery of a website or digital system, Forge Platform Systems will accommodate reasonable minor edits and adjustments at no additional charge. Minor edits include corrections to text, small image swaps, color or font updates, and similar small changes that do not alter the overall structure, layout, or functionality of the site.

Major changes are subject to additional fees. Major changes include, but are not limited to: adding new pages or sections, redesigning the layout or structure, building new features or integrations, significant content rewrites, and any work that extends materially beyond the original agreed-upon scope. Forge Platform Systems will communicate estimated costs for any major changes before work begins.

6. Hosting & Availability

For clients on a managed hosting plan, we strive to maintain high uptime and reliability. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages, and circumstances beyond our control may result in temporary downtime. We are not liable for any losses resulting from service interruptions.

7. Automated Lead System Disclaimer

Our automated lead-generation and follow-up tools are designed to help you capture and manage prospective customer inquiries. These tools are provided on an "as-is" basis. Forge Platform Systems does not guarantee any specific number of leads, conversions, revenue, or business results. Performance depends on many factors outside our control, including market conditions, your responsiveness, the quality of your offerings, and consumer behavior. You acknowledge that results will vary and that we bear no liability for outcomes.

8. Intellectual Property

All proprietary code, frameworks, templates, and tools developed or owned by Forge Platform Systems remain our intellectual property. Upon full payment, clients receive a license to use the final deliverables (e.g., the completed website) for their intended purpose. This license does not transfer ownership of underlying source code, design systems, or reusable components unless expressly agreed in writing. Content you supply (logos, copy, images) remains your property.

9. Prohibited Uses

You may not use our services to distribute malware, spam, or any harmful content; infringe on any third party's intellectual property or privacy rights; engage in fraudulent, deceptive, or illegal activity; attempt to reverse-engineer, decompile, or tamper with our systems; or resell, redistribute, or sublicense our services without written permission.

10. Third-Party Services

Our services may integrate with or rely on third-party platforms, including but not limited to Google Workspace and Gmail API, analytics providers such as Google Analytics, SMS and messaging platforms, cloud hosting providers, and payment processors. These third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of such services is at your own risk.

11. Domain Names & Email Accounts

Domain Registration: When a domain name is required as part of your project, Forge Platform Systems may purchase and register the domain on your behalf through a third-party domain registrar. In such cases, you are the beneficial owner of the domain, and we will transfer full ownership and control to you upon request, provided your account is in good standing with no outstanding balances.

Email Accounts: Business email accounts (e.g., name@yourdomain.com) may be set up through third-party providers such as Google Workspace or similar platforms. Any subscription costs associated with these accounts — including registrar renewal fees and email hosting fees — are either billed directly to you or passed through and included in your monthly service fee, as outlined in your service agreement.

Non-Payment & Domain/Email Access: If your account becomes delinquent or services are terminated, Forge Platform Systems reserves the right to withhold transfer of domain credentials or email account access until all outstanding balances are settled. We are not responsible for domain expiration or loss of email data resulting from non-payment or client inaction after termination.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Forge Platform Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the services, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Forge Platform Systems LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the services, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. We reserve the right to suspend or terminate access to our services immediately and without notice if you breach these Terms. Upon termination, your right to use the services ceases. Sections related to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

15. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
